ShopLink and ClubLink by dotMatters – Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between dotMatters Ltd, a company registered in England and Wales (“dotMatters”, “we”, “us”, or “our”), and the merchant or entity installing or using the ShopLink or ClubLink application (“ShopLink or ClubLink” or the “App”).

By installing, accessing, or using ShopLink or ClubLink through the Shopify platform, you (“Customer”, “you”, or “your”) agree to be bound by these Terms, the dotMatters Privacy Policy, and any applicable acceptable use policies, each incorporated by reference.

If you install or use ShopLink or ClubLink on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.


1. Relationship with Shopify

ShopLink or ClubLink is a third-party application developed by dotMatters and made available through the Shopify App Store.

Customer acknowledges that use of the Shopify platform itself is governed by Shopify’s own terms and policies.


2. The Service

ShopLink enables Shopify merchants to link, bundle, and manage products listed on their Shopify storefront.

ClubLink enables Shopify merchants to create, manage and build private password protected sites for specific clubs/associations custom merchandise and product ranges.

The App accesses Shopify product data only, strictly to provide the Service’s functionality. ShopLink or ClubLink does not access customer personal data unless explicitly stated in the Privacy Policy.

dotMatters grants Customer a limited, non-exclusive, non-transferable, revocable licence to use the App solely in connection with Customer’s Shopify store and in accordance with these Terms.


3. Authorised Users

Customer may permit employees, contractors, or agents (“Authorised Users”) to access the App on its behalf. Customer remains fully responsible for all use of the App by its Authorised Users and for ensuring compliance with these Terms.


4. Acceptable Use & Restrictions

Customer shall not, and shall not permit any third party to:

  1. Modify, copy, adapt, translate, or create derivative works of the App;
  2. Sell, sublicense, lease, rent, distribute, or otherwise make the App available to third parties;
  3. Reverse engineer, decompile, or attempt to extract source code, except where expressly permitted by law;
  4. Circumvent usage limits, security mechanisms, or access controls;
  5. Use the App in a way that violates Shopify’s terms, applicable law, or third-party rights;
  6. Use the App to build, benchmark, or compete with a substantially similar product;
  7. Interfere with the integrity, performance, or security of the App or Shopify platform.

dotMatters may monitor usage to ensure compliance with these Terms and Shopify requirements.


5. Suspension & Termination of Access

dotMatters may immediately suspend or terminate access to the App, without liability, if it reasonably determines that:

Customer acknowledges that suspension or termination may result in loss of access to App functionality and related configurations.


6. Modifications to the App

dotMatters may update, modify, or discontinue features of the App to maintain compliance with Shopify requirements, improve functionality, or for operational reasons.

Some enhancements may require additional fees, which will be disclosed in advance.

8. Customer Representations & Data Responsibility

Customer represents and warrants that:

  1. It maintains a legally compliant privacy policy for its storefront customers;
  2. All data accessed or processed through the App:
  1. Customer remains solely responsible for compliance with data protection laws applicable to its business.

9. Limited Warranty & Disclaimer

dotMatters warrants that the App will perform materially in accordance with its published description when used as intended.

EXCEPT AS EXPRESSLY STATED, THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE”. DOTMATTERS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Term & Termination

These Terms commence upon installation of the App and continue on a rolling 30-day term, renewing automatically unless cancelled.

Customer may cancel the subscription through Shopify’s billing interface. Cancellation takes effect at the end of the current billing period.


12. Marketing & Attribution

Customer grants dotMatters a non-exclusive right to use Customer’s name, logo, and trademarks solely to identify Customer as a user of the App. No endorsement is implied.


13. Force Majeure

Neither party shall be liable for failure or delay caused by events beyond reasonable control, including acts of God, war, labour disputes, or changes in law.


14. Severability

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.


15. Notices

Notices shall be provided electronically. Customer is responsible for maintaining an up-to-date email address.

16. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
